Article 1
Name and address

The name of the institution is Skaftfell. Address is Austurvegur 42, Seyðisfjörður

Article 2
Purpose and mission

The purpose of the institution is to enforce the art and cultural life of Seyðisfjörður by running an exhibition space, cultural and promotional center in the housing of the institution at Austurvegur 42, Seyðisfjörður. As well as rent out an apartment for artists and run a food and beverage service in connection with the operation.

Article 3
Initial capital

The initial capital is the real estate at Austurvegur 42, Seyðisfjörður, a present from Garðar Eymundsson and Karólína Þorsteinsdóttir, Seyðisfjörður, to the association, to enforce the cultural and art life of Seyðisfjörður. The institution will overtake all the financial capital that the so-called Skaftfell group has acquired.

Article 4
The board

The board of the institution shall consist of five members and their alternates. The members shall be appointed for three years at a time.

The board shall be appointed by the following parties: Garðar Eymundsson and Karólína Þorsteinsdóttir (or their children) shall appoint one member, the Seyðisfjörður town council shall appoint one member, after receiving a review from the towns cultural committee, the Association of Icelandic Artists shall appoint one member and the so-called Skaftfell group, cf. attached document, appoint two members. Alternates shall be appointed for each board member.

The board chooses their chairman and vice chairman and divide task.

The role of the board is to work towards the goals of the institution and that the operation is in correlation with the purpose and aim.

The board is permitted to hire an director for the institution and grant him the authority to sign for the institution.

The board shal make a annual report in March about the projects and task from the last calender year, as well as planned projects. The report shall be submitted to those who have the right to appoint board members, as well as others that the board thinks should naturally have access.

The board is permitted to oblige the institution financially and take a loan on its behalf. It is not permitted to sell or pledge unless 4/5 parts of the board agree and that legal requirements a fulfilled (cf. art. 5, law no. 19/1988)

Article 5
Accounts and audit

Fiscal year of the institution is the calendar year. The boars shall hire a legal accountant to revise the annual financial statement and shall that revise be finished in April every year for the last fiscal year. The signed annual financial statement and agreed by the board and accountant to the appointing parties and General Auditor cf. 1 par. 3 art. law no 19/1988. With the annual financial statement a report shall be sent entailing how the pecuniary advantages will be used in the following year.

Article 6

The financial resources of the institution are income from running the art and cultural center, that will operate in the estate of the institution at Austurvegur 42, Seyðisfjörður, as well as other income related to the operations, such as contribution income from the Government or governmental institutions, municipality, associations and individuals.

Article 7

This organizational charter can only be modified if all parties that appoint members of the board agree on the amendment.

Article 8

The organization will only be discontinued if all parties that appoint members of the board agree. If that is to happen the appointing members will allocate the property of the institution, cf. art. 4 and with the intent the valuables will be allocated to enforce the art and cultural life of Seyðisfjörður.


Article 9

The charter shall be certified by the ministry of justice and the published in the B-department of the Government Gazette.

This charter is hereby certified according to laws of funds and institutions that operate according to a certified charter, no. 19/1988.
